These Terms of Use ("Terms") are a legal agreement between you and FRME for using the FRME platform. By creating an account, clicking "I agree", accepting an invitation, paying rent through FRME or otherwise using the Platform, you accept these Terms. If you don't agree, don't use FRME.
Key terms at a glance
- FRME is software. We are not your landlord, property manager, bank, trustee, lawyer, accountant or financial adviser (sections 5 and 10).
- Subscriptions renew automatically, and you can request a refund within 30 days of purchase (section 4.6 and our Refund Policy).
- Landlords are responsible for their tenancies, the data they upload, compliance with tenancy law, and chargebacks on rent payments (sections 5, 7 and 15).
- Screening and reviews are tools. Landlords make their own rental decisions and are responsible for using screening and reviews lawfully (sections 9, 10 and 13).
- Our liability is limited. We exclude indirect losses and cap our total liability (sections 13 and 14).
- Manitoba law applies, and we ask you to try to resolve disputes with us informally first (section 17).
1. About FRME and these Terms
1.1 Who we are. FRME is operated by FRME INC ("FRME", "we", "us", "our"), 300 Main Street, Winnipeg, Manitoba R3C 4G1.
1.2 Acting for a business. If you use FRME for a company, partnership or other organization, you confirm you are authorized to bind it to these Terms, and "you" includes that organization.
1.3 Related terms. Our Privacy Policy explains how we handle personal information. Paddle's buyer terms apply to subscription purchases. Once online Rent Payments are offered in your account, the Payment Processor's terms also apply to them. Any written order form, founding-member offer or signed agreement with FRME also applies.

2. Accounts, eligibility and security
2.1 Eligibility. You must be at least 18, or the age of majority where you live, and able to enter a binding contract. The Platform is intended for use in Canada.
2.2 Accurate information. Give us accurate, complete information and keep it current. We may verify your identity or business and refuse or close accounts that we can't verify.
2.3 Your login. Each login is for one person. Keep your password and two-factor codes secret, and don't share accounts. You are responsible for everything done through your account unless it results from our own failure to protect it.
2.4 Report problems. Tell us right away at daniel@frme.ca if you think your account has been accessed without permission. We may lock the account while we investigate.
3. Customers, Owners and Team Members
3.1 Customer control. The Customer controls its account, decides who gets access and what they can see, and can remove access at any time.
3.2 Responsibility for users. Customers are responsible for their Team Members' and Tenants' use of the account they administer, and for ensuring Team Members follow these Terms.
3.3 Managing for Owners. If you manage property for an Owner, you confirm you have the Owner's authority to use FRME for that property, to upload its data and to collect rent for it. Your arrangement with the Owner is between you and the Owner.
3.4 Account ownership disputes. If people disagree about who controls an account, we may treat the person or business that pays the subscription as the Customer, or suspend the account until the dispute is resolved.
4. Subscriptions, billing and refunds
4.1 Paddle is our reseller. FRME subscriptions are sold through Paddle.com, which acts as merchant of record. Paddle processes your payment, collects applicable taxes and issues your invoice, and its buyer terms apply to your purchase. Billing questions can go to Paddle or to us.
4.2 Plans and pricing. Plans, prices and limits (such as the number of units or users) are shown at checkout or on frme.ca. Prices are in Canadian dollars and exclude taxes unless stated otherwise. If you go over your plan's limits, we may ask you to upgrade.
4.3 Free trials and founding-member offer. Founding-member accounts get a free trial for the period stated in the offer. No payment details are needed to start, and nothing is charged when the trial ends. Instead, landlord features become read-only until you subscribe, and your data stays available to view and export. The founding-member price stays the same for as long as your subscription stays active. It ends if you cancel and your paid period runs out, or if you switch to a different plan. Other promotional pricing applies only as described in that offer.
4.4 Automatic renewal. Subscriptions renew automatically for the same term (monthly or annual) and are charged to your payment method at the start of each term until you cancel.
4.5 Cancelling. You can cancel anytime in your account settings. Cancellation stops the next renewal; you keep access until the end of the term you've paid for.
4.6 Refunds. We offer a 30-day money-back guarantee on purchases and renewals of any paid plan, as described in our Refund Policy (frme.ca/refunds). Refunds are processed by Paddle; request one at paddle.net or by emailing daniel@frme.ca. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are also governed by Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms).
4.7 Taxes. Fees don't include GST, PST, HST or other taxes. Paddle collects the applicable taxes on your invoice.
4.8 Price changes. We may change prices. We will give you at least 30 days' notice by email before a new price applies to your next renewal. If you don't agree, cancel before it takes effect.
4.9 Late or failed payments. If a payment fails, we or Paddle will retry it and let you know. If it isn't fixed within 14 days, we may limit your account to read-only access or suspend it until it is paid. Suspending your subscription doesn't cancel online Rent Payments already in process.
4.10 Billing disputes. Contact us within 60 days of a charge you think is wrong. We will work with Paddle to fix any error. Please contact us before starting a chargeback, as a chargeback may lead to suspension while it's resolved.
5. Rent payments
Online Rent Payments aren't available in every account yet. Today, the Platform lets Customers record and track rent paid by other methods, such as e-transfer, and FRME does not process or receive that rent. Sections 5.1 to 5.12 apply only once FRME offers online Rent Payments in a Customer's account. Section 5.13 applies to all rent tracked in the Platform.
5.1 FRME's role. FRME provides software that lets Tenants pay Customers. FRME is not a landlord, property manager, bank, trust company, payment institution or party to any lease. Payments are processed and settled by the Payment Processor.
5.2 Limited payment agent. Each Customer appoints FRME, acting through the Payment Processor, as its limited agent solely to accept Rent Payments from its Tenants. When the Payment Processor confirms a Rent Payment, the Tenant's obligation to the Customer is satisfied to the extent of that amount, whether or not the Customer has received the payout yet.
5.3 Customer set-up. To accept Rent Payments, a Customer must complete the Payment Processor's onboarding and identity checks, give accurate banking details and accept the Payment Processor's terms. We may pause Rent Payments to any Customer who hasn't completed or failed those checks.
5.4 Payment authorization. By submitting a Rent Payment, a Tenant authorizes the charge to their payment method and confirms they are allowed to use it. If a Tenant sets up automatic or recurring payments, they authorize each scheduled charge until they cancel it in the Platform, which must be done at least 3 business days before the next scheduled date.
5.5 Fees. Any processing or convenience fee is shown before the Tenant confirms a payment. Customers decide whether Tenants pay these fees, and are responsible for making sure that is allowed under the lease and the law.
5.6 Payouts. Payouts to Customers are made by the Payment Processor on its schedule. The Payment Processor may delay, hold or reverse payouts for risk, fraud or compliance reasons. FRME does not guarantee payout timing and is not responsible for delays caused by the Payment Processor or banks.
5.7 Failed and reversed payments. If a Rent Payment fails, is declined or is reversed, we will notify the Customer and Tenant through the Platform. The Tenant still owes the amount under the lease, and FRME is not responsible for collecting it.
5.8 Refunds. Rent refunds are between Customer and Tenant. A Customer may issue a refund through the Platform where available; the refunded amount and any non-returnable processing fees are recovered from the Customer.
5.9 Chargebacks. Customers are responsible for all chargebacks and disputes on their Rent Payments, including disputed amounts and related fees. Customers authorize FRME and the Payment Processor to recover those amounts from future payouts or the Customer's payment method, and agree to provide evidence needed to respond to a dispute.
5.10 Security deposits. FRME does not hold money in trust. Customers are solely responsible for holding security and pet deposits as required by law, including any trust account requirements under Manitoba's Residential Tenancies Act.
5.11 Records. Payment records in the Platform are provided for convenience. If they conflict with the Payment Processor's records, the Payment Processor's records govern.
5.12 Holds and compliance. We or the Payment Processor may refuse, hold or reverse any payment we reasonably suspect is fraudulent, unauthorized, unlawful or connected to sanctioned persons, and may share information with the Payment Processor or authorities where the law requires.
5.13 Tenancy law. Rent amounts, due dates, late fees, increases and other tenancy terms come from the lease and the law, not from FRME. Customers must comply with residential tenancy laws, including Manitoba's Residential Tenancies Act where it applies, and must accept other payment methods where the law requires.
6. Terms for Tenants
6.1 Your landlord relationship. Your lease is with your landlord, not FRME. Questions about rent amounts, fees, repairs, deposits or your tenancy go to your landlord, and tenancy disputes go to the Residential Tenancies Branch or the equivalent body where you live.
6.2 Your access. You get access because your landlord invited you. Your landlord can change or remove your access, and it ends if their account closes.
6.3 Cost to you. FRME doesn't charge Tenants to use the Platform. Any payment processing fee is shown before you pay.
6.4 Your records. You can view and download your payment receipts while you have access. Please keep your own copies. You can ask us for a copy of your own receipts after your access ends.
6.5 Your information. Your landlord controls your tenancy records in FRME. Our Privacy Policy explains how that works and how to make privacy requests.
6.6 Reviews. You can review your landlord, and your landlord can review you. Section 9 covers the rules for reviews and how to report one.
7. Your data, privacy and confidentiality
7.1 You own your data. As between you and FRME, Customer Data belongs to the Customer or the person who provided it. We claim no ownership of it.
7.2 Our licence. You grant FRME a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit and display Customer Data only as needed to provide, secure and support the Platform, to prevent fraud and abuse, and to meet legal obligations. This licence ends when the data is deleted under section 7.6.
7.3 Aggregated data. We may create and use aggregated or de-identified data that does not identify you, any person or any specific property, to operate, improve and report on the Platform.
7.4 Your responsibilities. You are responsible for the accuracy and legality of Customer Data. You confirm you have all rights, consents and notices needed to upload it, including from Tenants, Owners and others, and that doing so doesn't breach any law, lease, contract or anyone's rights.
7.5 Privacy. We handle personal information as described in our Privacy Policy. When we process Customer Data for a Customer, we act as that Customer's service provider and follow its reasonable instructions given through the Platform.
7.6 Export and deletion. You can export Customer Data while your account is active and for 60 days after it closes. After that we delete or anonymize it within a reasonable time, except for data we must keep by law, data in backups until they are overwritten, and records needed to resolve disputes or enforce these Terms.
7.7 Keep your own records. FRME backs up the Platform, but it is not a records retention service. Keep your own copies of records you must retain, such as tax, accounting and tenancy records.
7.8 Confidentiality. Each of us will protect the other's non-public business information with reasonable care, and use it only for purposes of these Terms. This doesn't cover information that is public, already known, independently developed, or that must be disclosed by law, as long as the other party is told where the law allows.
7.9 Security incidents. If we confirm a security breach affecting Customer Data, we will notify affected Customers without undue delay and give them the information we reasonably can so they can meet their own legal obligations. Customers must tell us promptly about any suspected unauthorized use of their accounts.
7.10 Legal requests. If a government or court asks us for Customer Data, we will tell the affected Customer before responding where the law allows, and disclose only what we are legally required to.
8. Acceptable use
You agree not to, and not to let others:
- Use the Platform for anything illegal, fraudulent, deceptive or discriminatory, including screening or treating Tenants or applicants in ways human rights laws prohibit
- Collect rent, fees or deposits you are not legally entitled to, or impose charges the law doesn't allow
- Upload information you have no right to share, or sensitive data the Platform doesn't need, such as social insurance numbers, full banking details or health records
- Upload viruses, malware or harmful code, or content that is defamatory, obscene or infringes anyone's rights
- Harass, threaten, spam or send unlawful messages to Tenants or anyone else
- Run a Screening on anyone other than a genuine Applicant, or without the notice or consent the law requires
- Post Reviews that break section 9
- Access accounts, data or systems without permission, or get around access limits, usage limits or security measures
- Probe, scan or test the Platform's vulnerabilities, or disrupt it through overloading, flooding or similar attacks
- Scrape, copy, frame or reverse engineer the Platform, or use it or its Output to build a competing product
- Use bots or automated tools with the Platform, other than integrations we provide or approve
- Resell, sublicense, rent or give third parties access to the Platform outside your own business, without our written permission
- Remove or hide any notices of ownership on the Platform
We may investigate suspected violations, remove content, and suspend or close accounts under section 16. If you find a security weakness, please report it to us instead of exploiting it.
9. Reviews
9.1 How reviews work. Tenants can review their landlords, and landlords can review their tenants. Reviews can be seen by other FRME users.
9.2 Review rules. Every Review must:
- Be honest and based on your own experience of a real tenancy with the person or property you review
- Include only the personal information needed to describe that experience, and never contact details, financial information, health information or details about other people
- Not be defamatory, threatening, harassing or discriminatory, including on any ground protected by human rights law
- Not be offered or posted in exchange for payment, or as retaliation against someone for exercising their legal rights
9.3 Your responsibility. You are responsible for the Reviews you post. You give FRME a non-exclusive, royalty-free licence to display them on the Platform. FRME doesn't check Reviews before they appear and doesn't endorse them.
9.4 Reporting and removal. Anyone can report a Review they believe breaks these rules, in the Platform or at daniel@frme.ca. FRME may remove or hide any Review that breaks these rules or the law, and may suspend accounts that repeatedly post such Reviews.
10. AI features, calculators, screening and reports
10.1 Not professional advice. The Platform, including AI features, Screening, property calculators, stress tests, statements and reports, is for information and organization only. Nothing in it is financial, investment, tax, accounting, legal, lending, appraisal or real estate advice. Get advice from a qualified professional before relying on it for those decisions.
10.2 Output depends on inputs. Output is based on the data and assumptions you provide and on automated tools that can be wrong, incomplete or out of date. You are responsible for reviewing and verifying Output before you rely on it, file it, or share it with anyone, including accountants, lenders, investors, Tenants or tax authorities.
10.3 Not audited. Statements and reports are not audited or reviewed by an accountant, and are not a substitute for your own books and records.
10.4 AI features. AI features are powered by third-party providers, as described in our Privacy Policy. Don't use AI Output as the only basis for decisions about a Tenant or applicant. You own the Output generated from your Customer Data, subject to our rights in the Platform itself.
10.5 Applicant screening. Screening is optional. When a Customer runs a Screening, FRME searches publicly available online sources about the Applicant and an AI model summarizes the results with a confidence level and a suggested risk level. Customers who use Screening must:
- Use it only for a genuine rental application, and only after giving the Applicant any notice and getting any consent the law requires
- Review the results themselves, override them where they are wrong, and make their own decision
- Never use results to discriminate on any ground protected by human rights law
- Give the Applicant a fair chance to respond to or correct information that affects the decision, where the law requires
11. Availability, support and changes
11.1 Availability. We aim to keep the Platform available and working, but we don't promise it will be uninterrupted or error-free. It may be unavailable for maintenance, updates, outages of our service providers, or events outside our control.
11.2 Support. We provide support by email at daniel@frme.ca during normal business hours in Winnipeg. Response times are targets, not guarantees, unless a written agreement says otherwise.
11.3 Changes to the Platform. FRME is an early-stage product and will change. We may add, change or remove features. If a change materially reduces the core features of a paid plan, we will give you at least 30 days' notice, and you may cancel and receive a prorated refund of prepaid fees for the unused term.
11.4 Beta features. Features labelled beta, preview or early access are provided as-is, may be changed or withdrawn at any time, and are excluded from any commitments in these Terms.
12. Intellectual property, feedback and third parties
12.1 FRME owns the Platform. The Platform, including its software, design, text, graphics, name, logo and trademarks, belongs to FRME or its licensors and is protected by intellectual property laws. These Terms don't transfer any of it to you.
12.2 Your right to use the Platform. While you comply with these Terms and pay any Fees, we give you a limited, revocable, non-exclusive, non-transferable right to use the Platform for your own internal property management, or as a Tenant for your own tenancy. We keep all rights we don't expressly grant.
12.3 Feedback. If you send us ideas, suggestions or feedback, we may use them for any purpose without restriction, payment or credit to you.
12.4 Third-party services. The Platform depends on third-party services such as payment, email, hosting and AI providers, and may link to or connect with other services. We don't control and aren't responsible for third-party services, and their own terms and privacy policies apply to your use of them.
12.5 Copyright complaints. If you believe content on the Platform infringes your copyright, email daniel@frme.ca with the details required under Canada's Copyright Act. We will handle notices as that Act requires.
13. Disclaimers
13.1 As is. To the fullest extent the law allows, the Platform and all Output are provided "as is" and "as available". FRME disclaims all warranties and conditions, express, implied or statutory, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy and uninterrupted or error-free operation.
13.2 Screening tools, landlords and tenants. FRME provides Screening tools, but does not verify or vouch for any Customer, Owner, Tenant, Applicant or property. Screening results come from public online sources and automated analysis. They may be incomplete, out of date or wrong, and may relate to a different person with a similar name. FRME does not guarantee their accuracy or completeness and does not recommend whether to rent to anyone. Customers are responsible for using Screening lawfully, including under human rights and privacy laws, and for their own rental decisions (section 10.5). FRME is also not responsible for the condition of any property, the conduct of any user, the content of Reviews, or whether any lease or tenancy practice is lawful.
13.3 Data loss. While we take reasonable steps to protect and back up data, we don't guarantee that Customer Data will never be lost or corrupted. Keep your own copies of important records (section 7.7).
14. Limitation of liability
Please read this section carefully. It limits what you can recover from FRME.
14.1 Excluded losses. To the fullest extent the law allows, FRME and its directors, officers, employees, contractors and service providers are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, rent, business, goodwill, opportunity or data, however caused and even if we were told they were possible.
14.2 Third parties. FRME is not liable for the acts, omissions, errors or failures of Customers, Owners, Tenants, the Payment Processor, Paddle, banks or other third parties, or for disputes between Customers and Tenants.
14.3 Liability cap. To the fullest extent the law allows, FRME's total liability for all claims arising out of or relating to these Terms or the Platform, in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the Fees you paid FRME in the 12 months before the event giving rise to the claim, and (b) $100 CAD. Rent Payments and processing fees are not Fees paid to FRME.
14.4 What isn't limited. Nothing in these Terms limits liability that cannot legally be limited, including liability for fraud or, where the law requires, for death or personal injury caused by negligence. The limits in this section don't apply to a Customer's obligation to pay Fees, chargebacks or amounts owed under section 15.
14.5 Consumer rights. If consumer protection laws apply to you and don't allow some of these exclusions or limits, they apply only to the extent those laws allow.
14.6 Time to bring claims. To the extent the law allows, any claim against FRME must be brought within one year after you knew or ought to have known of it.
15. Indemnity
15.1 Customers. Customers will defend, indemnify and hold harmless FRME and its directors, officers, employees and contractors from all claims, losses, damages, penalties, fines and costs, including reasonable legal fees, arising out of or relating to:
- Customer Data, including any claim that it was collected, uploaded or used without the proper rights or consent
- The Customer's properties, leases, tenancies, deposits and dealings with Tenants, Owners or applicants
- Rent Payments, refunds, chargebacks and payment disputes on the Customer's account
- Screenings the Customer runs and decisions it makes about Applicants, and Reviews it posts
- The Customer's, its Team Members' or its Tenants' breach of these Terms
- The Customer's breach of any law, including tenancy, human rights, privacy and consumer protection laws
15.2 Other users. Every user is responsible for claims caused by their own breach of these Terms or of the law, including Reviews they post.
15.3 Process. We will tell you promptly about any claim covered by this section, let you control the defence with counsel reasonably acceptable to us, and cooperate at your cost. You may not settle a claim that imposes obligations on FRME without our written consent.
16. Suspension and termination
16.1 By you. You can close your account at any time in your settings. Section 4 covers your subscription and section 7.6 covers exporting your data.
16.2 Suspension by us. We may suspend all or part of your access immediately if we reasonably believe you have breached these Terms, have not paid, pose a security, fraud or legal risk to FRME or other users, or if the law, a court or the Payment Processor requires it. Where it's reasonable and lawful, we will tell you why and give you a chance to fix the problem first.
16.3 Termination by us. We may close your account if you seriously or repeatedly breach these Terms, don't fix a breach within 14 days of notice, or if we stop offering the Platform. If we stop offering the Platform, we will give at least 60 days' notice where we reasonably can.
16.4 Refund on termination without cause. If we close a paid account for a reason other than your breach, we will refund the prepaid Fees for the unused part of your term.
16.5 Effect of ending. When your account ends, your right to use the Platform ends, scheduled Rent Payments stop, and any unpaid Fees, chargebacks and amounts owed become due. Payments already in process may still complete or be reversed under section 5.
16.6 What survives. Sections 4 (for amounts owed), 5.8 to 5.10, 7, 9.3, 10, 12 to 15, 16.5, 17, 19 and any other terms that by their nature should continue, survive after your account ends.
17. Disputes and governing law
17.1 Governing law. These Terms are governed by the laws of Manitoba and the federal laws of Canada that apply there, without regard to conflict of law rules.
17.2 Talk to us first. Before starting any legal claim, send us a written description of the issue at daniel@frme.ca. We both agree to try in good faith to resolve it within 30 days.
17.3 Courts. If a dispute isn't resolved informally, it will be heard only in the courts of Manitoba sitting in Winnipeg, and you and FRME agree to their jurisdiction. Either of us may still use small claims court, and consumers keep any right their local law gives them to go to court where they live.
17.4 Individual claims. To the extent the law allows, Customers bring claims against FRME only on their own behalf and not as part of a class or representative action.
17.5 Urgent relief. Either party may seek an injunction or other urgent court order to protect its intellectual property, confidential information or the security of the Platform.
18. Electronic communications and notices
18.1 Electronic agreement. You agree that these Terms, your acceptance of them, receipts, authorizations and notices can be provided and signed electronically, and have the same effect as paper documents signed by hand, as permitted under Manitoba's Electronic Commerce and Information Act and similar laws.
18.2 How we contact you. We may send notices by email to the address on your account, by message in the Platform, or by posting on frme.ca. Notices by email are received when sent unless we get a delivery failure. Keep your email address current.
18.3 Service messages. You agree to receive transactional and service messages about your account, payments and these Terms. You can opt out of marketing messages at any time as described in our Privacy Policy.
18.4 Notices to FRME. Send legal notices to daniel@frme.ca, with a copy by mail to FRME INC, 300 Main Street, Winnipeg, Manitoba R3C 4G1.
19. General terms
19.1 Changes to these Terms. We may update these Terms. We will post the new version with a new effective date and, for material changes, give you at least 30 days' notice by email or in the Platform. If you keep using FRME after the changes take effect, you accept them. If you don't agree, stop using FRME and close your account before then.
19.2 Order of precedence. If documents conflict, this order applies: a signed written agreement with FRME, then an order form or founding-member offer, then these Terms, then other policies we post.
19.3 Entire agreement. These Terms and the documents in section 1.3 are the whole agreement between you and FRME about the Platform and replace any earlier discussions or proposals.
19.4 Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or as part of a merger, acquisition, financing or sale of assets, with notice to you.
19.5 Service providers. We may use contractors and service providers to perform our obligations, and we remain responsible for them under these Terms.
19.6 Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, such as natural disasters, pandemics, war, labour disputes, government action, or failures of utilities, the internet or third-party providers. Payment obligations are not excused.
19.7 Relationship. You and FRME are independent parties. Except for the limited payment agency in section 5.2, nothing in these Terms creates a partnership, joint venture, employment or agency relationship.
19.8 Severability and waiver. If a court finds part of these Terms unenforceable, it will be enforced to the maximum extent allowed and the rest stays in effect. Not enforcing a right right away doesn't waive it.
19.9 Interpretation. Headings are for convenience only. "Including" means "including without limitation".
19.10 Language. The parties have requested that these Terms and related documents be drawn up in English. Les parties ont exigé que les présentes conditions et les documents qui s'y rattachent soient rédigés en anglais.
